Terms
Terms of service, in plain words.
This is a placeholder. It lists the clauses a real agreement needs so drafting can start against it — it does not yet govern anything.
Draft placeholder — replace this page with reviewed legal copy before launch.
The agreement
TODO: who the contract is between (the hospital entity and the operating entity), when it starts (onboarding acceptance, not demo request), and the governing law.
Accounts and tenants
TODO: what a tenant is, that each hospital is responsible for its own staff accounts and invitations, and that access can be suspended for non-payment.
Acceptable use
TODO: lawful use of patient data by the hospital, prohibited uses, and what happens on breach.
Billing and payment
TODO: plan fees, annual versus monthly billing, the one-time setup fee, add-ons, tax handling, payment providers, late payment and the suspension process.
Your data
TODO: ownership of hospital data, the export promise on offboarding, subprocessors, and security commitments — worded conservatively, with no compliance certification claimed.
Availability and support
TODO: service targets (and the Enterprise SLA as a separate document), maintenance windows, and support channels.
Liability
TODO: limitation of liability and the clinical-responsibility carve-out — the hospital remains responsible for clinical decisions made using the record.
Changes
TODO: how changes are notified and when they take effect.
Contact
TODO: the notice address and email for contractual questions.
